Terms of Service
These Terms of Service ("Terms") govern your access to and use of Shopify PowerTools (the "App") provided by StackJive, Inc. ("StackJive," "we," "us," or "our"). By installing or using the App, you ("Merchant" or "you") agree to be bound by these Terms. If you do not agree, do not install or use the App.
1. The Service
Shopify PowerTools is a Shopify app that provides tools for bulk product management, SEO auditing, profit tracking, metafield management, growth intelligence, and related e-commerce optimization features. The App integrates with your Shopify store via the Shopify Admin API.
We reserve the right to modify, suspend, or discontinue any part of the App at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service.
2. Account & Eligibility
To use the App you must have an active Shopify store and be authorized to enter into binding agreements on behalf of the business that owns the store. You must be at least 18 years old. You are responsible for maintaining the security of your Shopify credentials and for all activity that occurs under your account.
3. Billing & Subscriptions
Subscription Plans
The App offers paid subscription plans as described on the pricing page. Subscriptions are billed through Shopify's billing system. By selecting a paid plan, you authorize Shopify to charge your payment method on a recurring basis at the selected billing interval (monthly or annual).
Free Trial
We may offer a free trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.
Cancellation & Refunds
You may cancel your subscription at any time through the Shopify App Store. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for unused time within a billing period, except where required by applicable law.
Price Changes
We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price change takes effect. Continued use of the App after the effective date of a price change constitutes acceptance of the new price.
4. Acceptable Use
You agree not to:
- Use the App in any way that violates applicable laws or Shopify's Partner Program policies.
- Attempt to gain unauthorized access to any part of the App or its infrastructure.
- Reverse-engineer, decompile, or disassemble any part of the App.
- Use the App to transmit malware, spam, or other harmful content.
- Scrape, resell, or redistribute App features or data without our written consent.
- Use AI-generated content produced by the App in ways that violate third-party intellectual property rights or applicable law.
5. Your Data & Content
You retain ownership of your store data, product listings, and any content you provide. By using the App, you grant StackJive a limited, non-exclusive license to access, process, and store your store data solely as necessary to provide the App's features. Our use of your data is described in our Privacy Policy.
You are responsible for ensuring that your use of App features — including AI-generated content, bulk edits, and automated changes — complies with all applicable laws and Shopify's policies. We are not liable for the accuracy or suitability of AI-generated suggestions.
6. Intellectual Property
The App, including its code, design, features, and branding, is the property of StackJive and is protected by copyright, trademark, and other intellectual property laws. These Terms grant you a limited, non-transferable, non-exclusive license to use the App for your own business purposes during your subscription term.
7. Third-Party Services
The App integrates with third-party services including Shopify, Anthropic, and others. Your use of those services is subject to their respective terms and policies. StackJive is not responsible for the availability, accuracy, or actions of any third-party service.
8. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
AI-generated content, insights, and recommendations are provided for informational purposes only. You are solely responsible for reviewing and validating any changes applied to your store.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STACKJIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless StackJive and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the App, your violation of these Terms, or your violation of any third-party rights.
11. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms or if required by Shopify. Upon termination, your license to use the App ends and we may delete your data as described in our Privacy Policy.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
13. Changes to These Terms
We may update these Terms from time to time. We will post the revised Terms on this page with an updated effective date. For material changes, we will provide at least 14 days' notice via email or an in-app notice. Continued use of the App after the effective date constitutes acceptance of the updated Terms.
